With respect to the Sumo Logic Third-Party Software Products (“Sumo Logic Services”), Customer agrees to the following:
1. Credit Usage. The credits for the Sumo Logic Services (“Credits”) are available for use in accordance with the Credits capacity identified in the Order (“Credit Capacity”) and only during the term of the Order (“Term”). Any Credits not used by the end of the Term expire and do not rollover. Credits will be deducted from the Credit Capacity according to the actual usage of each Sumo Logic Services variable listed in the table below (“Credits Table”) at the corresponding rates.

2. Credit Price. The Credits Table set forth above outlines the conversion of Sumo Logic Services use to a Credit Unit of Measure (“UOM”). The Sumo Logic Services may be configured in any combination of variables, so long as the total number of Credits depleted does not exceed the Credit Capacity. Credit UOM varies by Sumo Logic Services as outlined below:
- For Continuous Log Ingest and Frequent Log Ingest, GB is defined as gigabytes of application log data ingested into the Sumo Logic Services per each unique Customer Org ID.
- For Log Storage, GB is defined as gigabytes of log data stored on the Sumo Logic Services per each unique Customer Org ID.
- For Metrics Ingest, DPM is defined as the average number of data points ingested per minute in 1,000 increments in one (1) calendar day per each unique Customer Org ID.
- For Infrequent Ingest, GB is defined as gigabytes of application log data ingested into the Sumo Logic Services per each unique Customer Org ID.
- For Infrequent Log Storage, GB is defined as gigabytes of log data stored on the Sumo Logic Services per each unique Customer Org ID.
- For Infrequent Search, Scanned GB is defined as the amount of gigabytes scanned through search queries executed against data in the Infrequent Log Storage. Data scan calculations for Infrequent Search are estimated by five (5) minute intervals starting from 12 AM Pacific Time. For any query whose time range does not line up exactly with these intervals, the data scan for those partial intervals will be approximated by using a normalized distribution formula.
- For Cloud SIEM Enterprise, GB is defined as gigabytes of application log data ingested into the Sumo Logic Services per each unique Customer Org ID. Cloud SIEM Enterprise credit utilization is inclusive of the capabilities of Cloud SIEM Enterprise and Continuous Log ingest.
- For Tracing, GB is defined as gigabytes of Tracing span data ingested into the Sumo Logic Services per each unique Customer Org ID.
3. Credit Depletion. Notwithstanding anything to the contrary, if the Credit Capacity is depleted during the Term (“Depletion”), ReliaQuest (or the Authorized Reseller) will invoice Customer (“Depletion Invoice”) approximately every thirty (30) days following the date of such Depletion (“Depletion Date”) for the Credits used following the Depletion Date (“Depletion Credits”), provided, however, that if ReliaQuest (or the Authorized Reseller) and Customer have entered into a new Order for additional Credit Capacity (that covers the Depletion Credits) prior to the issuance of the Depletion Invoice, ReliaQuest (or the Authorized Reseller) will not issue such Depletion Invoice to Customer. The price for Depletion Credits in a Depletion Invoice will be two times (2.0X) ReliaQuest’s then-current list price. A Depletion Invoice will be issued approximately every thirty (30) days until such time as Customer and ReliaQuest (or the Authorized Reseller) enter into a new Order for additional Credit Capacity. This process will repeat every time a Depletion event occurs. Customer will pay, and each Depletion Invoice will be due, upon receipt.
4. Credit Acceleration. If seventy percent (70%) of the Credit Capacity is depleted during the Term, and more than thirty percent (30%) of the Term remains at the time of such depletion, ReliaQuest (or the Authorized Reseller) will invoice Customer for the remaining amounts due with respect to such Term, notwithstanding anything to the contrary herein. Customer will pay, and each such invoice will be due, upon receipt. If such invoice (or a Depletion Invoice) is not paid by the due date, ReliaQuest may suspend Customer’s access to the Sumo Logic Services, in addition to pursuing any other available remedies.
